MyShell AI Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between MyShell AI ("Company," "we," "us," or "our") and you ("User," "you," or "your"). By accessing or using our website, applications, APIs, and AI-based services (collectively, the "Service"), you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

MyShell AI provides a platform for digital AI-based tools, including but not limited to AI character creation, voice synthesis, and large language model interactions.

  • AI Nature: You acknowledge that the Service utilizes experimental artificial intelligence technology. Outputs may be inaccurate, offensive, or biased.
  • Evolution of Service: We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts and Security

  • Account Responsibility: You are solely responsible for maintaining the confidentiality of your login credentials. All activities occurring under your account are your responsibility.
  • Account Integrity: You agree to provide accurate and complete information. We reserve the right to suspend accounts that provide false data or violate security protocols.

4. Subscription, Billing, and Refund Policy

4.1 Subscription Cycle: MyShell AI offers digital subscription plans and credit-based services. Subscriptions automatically renew at the end of each billing cycle unless cancelled.

4.2 Immediate Billing: All fees are charged immediately at the time of purchase via your chosen payment method.

4.3 Strict Non-Refundable Policy: Due to the intangible nature of digital assets and the immediate costs associated with AI computation:

  • All payments are final and non-refundable.
  • No refunds or credits will be issued for partial months of service, unused credits (Shell Coins/Points), or accidental purchases.
  • Once any service access is granted or AI credits are consumed, the transaction is deemed fully executed.

4.4 Chargebacks: Unauthorized chargebacks may result in the permanent termination of your account and blacklisting from future services.

5. Intellectual Property Rights

  • Our Property: MyShell AI retains all rights, titles, and interests in the Service, including software, algorithms, proprietary models, and branding.
  • User Input: You retain ownership of the data/prompts you input into the Service ("Input").
  • AI Output: To the extent permitted by law, MyShell AI assigns to you its interest in the content generated by the Service based on your Input ("Output"). However, you acknowledge that AI-generated content may not be eligible for copyright protection in certain jurisdictions.
  • License to Us: You grant MyShell AI a worldwide, royalty-free license to use your Input and Output to provide, maintain, and improve our AI models and services.

6. Prohibited Use

You agree not to use the Service to:

  • Generate illegal, harmful, threatening, or defamatory content.
  • Engage in "Deepfake" creation without consent or for deceptive purposes.
  • Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Service.
  • Use automated scripts to scrape data or overwhelm our infrastructure.
  • Infringe upon the intellectual property rights of any third party.

7. Disclaimers and Limitation of Liability

7.1 "As-Is" Basis: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.

7.2 No Guarantee of Accuracy: MyShell AI does not warrant that the Output is accurate, reliable, or fit for any specific purpose. You should independently verify any information generated by the AI.

7.3 Limitation of Liability: In no event shall MyShell AI be liable for any indirect, consequential, or punitive damages, including loss of profits or data, arising out of your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold MyShell AI harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of third-party rights.

9. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Service’s integrity.

10. Governing Law and Dispute Resolution
